These Terms of Service ("Terms") govern your use of the Fosia plugin for Adobe Premiere Pro and the related services and website at fosia.ai (together, "the Service"), operated in the United Kingdom ("we", "us", "our").
By downloading, installing, or using Fosia, you agree to these Terms. If you do not agree, do not use the Service. Our Privacy Policy forms part of these Terms.
2. What the Service is
Fosia is an AI-assisted plugin that generates overlays, motion graphics, and effects inside Adobe Premiere Pro based on instructions you give it. Rendering happens locally on your own machine through the installed Plugin; only tracking-related data is sent to our servers and third-party AI providers. The Service requires a Fosia account and an active internet connection. Fosia is not a standalone editor and requires a working, compatible installation of Adobe Premiere Pro.
3. Eligibility
You must be at least 18 years old to purchase a subscription. If you are under 18, you may only use the Service with the involvement and consent of a parent or guardian who accepts these Terms on your behalf and is responsible for the account.
4. Your account and licence key
You must provide accurate information when creating an account and are responsible for keeping your credentials and licence key secure and for all activity under your account.
Your subscription grants a personal, non-exclusive, non-transferable, revocable licence to use Fosia for as long as your subscription is active. One licence key permits one active session at a time. Sharing, reselling, sublicensing, or distributing your licence key or the plugin package is not permitted and may result in suspension or termination without refund.
5. Subscriptions, billing, and renewal
Fosia is sold on a subscription basis. The plugin itself is free to download; access is unlocked by an active subscription purchased through fosia.ai.
Payments are processed by Stripe, acting as merchant of record and authorised reseller of the Service. Your purchase is therefore also subject to their terms, and they handle billing, invoicing, and applicable sales tax or VAT.
Prices, billing intervals, and included usage are as shown at the point of purchase. Subscriptions renew automatically at the then-current price until cancelled. You may cancel at any time, effective at the end of your current billing period; you keep access until that period ends. We may change pricing with at least 30 days' notice, applying to subsequent billing periods only.
Fair use: the Service is intended for normal individual creative use. We may apply reasonable limits, or contact you about your usage, where consumption is materially beyond typical use or is automated at scale.
6. Cancellation and refunds
If you are a consumer in the UK or EU, you normally have 14 days to cancel a purchase of digital content and receive a refund. Because Fosia gives you immediate access to the Service on purchase, at checkout you are asked to consent to immediate supply and to acknowledge that you lose this 14-day cancellation right once access begins. If you have given that consent and access has begun, the purchase is non-refundable.
Outside that right, subscription fees are non-refundable except where required by law or where we choose to make an exception, for example a prolonged outage that prevented you from using the Service. Nothing here affects your statutory rights, including your rights if the Service is not as described, not of satisfactory quality, or not supplied with reasonable skill and care.

Because Fosia is built on third-party AI providers, you must also comply with their acceptable-use policies. We may suspend or terminate access for breach of this section.
8. Your content and outputs
You keep ownership of the footage, images, audio, prompts, and other material you submit ("Your Content"), and of the graphics and effects Fosia generates for you ("Outputs"), to the extent such rights are available under applicable law.
You grant us a limited licence to store, transmit, and process the tracking-related data sent to our servers, solely to operate the Service and deliver Outputs to you, including sending it to the third-party AI providers described in our Privacy Policy. We do not use Your Content to train our own models.
You are responsible for ensuring you hold the rights to Your Content and for reviewing Outputs before publishing them. Because Outputs are generated by AI, we cannot guarantee they are unique, error-free, or free of resemblance to other material, and we make no representation about their eligibility for copyright protection.
9. Your project files and backups
Fosia makes changes inside your Adobe Premiere Pro project, including inserting, removing, and modifying clips, effects, and graphics on your timeline. You are responsible for maintaining your own backups of your projects and media. To the fullest extent permitted by law, we are not liable for loss of or changes to your project files, timeline, media, or any resulting rework, and you should review changes before saving over important work.
10. Third parties and Adobe
Fosia relies on third-party services, including AI providers (currently Anthropic), hosting providers, and our payment processor. Their availability and terms are outside our control.
Fosia is an independent product. It is not endorsed by, affiliated with, or sponsored by Adobe. Adobe and Adobe Premiere Pro are trademarks of Adobe Inc. Your use of Adobe products remains governed by your own agreement with Adobe, and you are responsible for holding a valid Premiere Pro licence. Changes to Adobe's software may affect or break Fosia's functionality.
11. Availability and changes to the Service
We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be unavailable for maintenance, updates, third-party outages, or reasons beyond our control.
Fosia is actively developed. We may add, change, or remove features. Where a change materially reduces the core functionality you subscribed for, you may cancel and, at our discretion or where required by law, receive a pro-rata refund for the unused portion of your billing period.
12. Disclaimers
To the fullest extent permitted by law, and except as expressly stated in these Terms, the Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will meet your requirements, that Outputs will be accurate or fit for a particular purpose, or that defects will be corrected.
If you are a consumer, this section does not limit your statutory rights under the Consumer Rights Act 2015 or equivalent legislation.
13. Limitation of liability
Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded by law.
Subject to that, and to the fullest extent permitted by law: we are not liable for indirect or consequential loss, or for loss of profits, revenue, business, goodwill, data, or project files; and our total liability for all claims relating to the Service will not exceed the greater of the amount you paid us in the 12 months before the claim arose, or £100.
14. Termination
You may stop using Fosia and cancel your subscription at any time. We may suspend or terminate your access immediately if you breach these Terms, misuse the Service, or fail to pay. We may also discontinue the Service as a whole with reasonable notice, refunding any unused prepaid period.
On termination, your licence ends and you must stop using the plugin. Sections that by their nature should survive termination will do so.
15. Changes to these Terms
We may update these Terms. Material changes will be notified by email or in the plugin, and reflected in the "last updated" date above. Continued use after changes take effect indicates acceptance; if you do not accept, you may cancel.
16. General
These Terms are the entire agreement between us regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not transfer your rights under these Terms; we may transfer ours to a successor of our business, provided your rights are not reduced.
17. Governing law
These Terms are governed by the laws of England and Wales, and disputes are subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer resident elsewhere in the UK or the EU, you keep the benefit of any mandatory protections and the right to bring proceedings in your country of residence.
